1. Description of Services

APX is the Business Financial Command Center for small and mid-sized businesses in the Los Angeles area. Our services include, but are not limited to, financial planning and analysis, cash flow management, bookkeeping oversight, payroll compliance guidance, and strategic advisory. The specific scope, deliverables, fees, and terms of any engagement are governed by a separate written service agreement executed between APX and the client.

We work alongside — and complement — your existing licensed tax and accounting professionals. Any financial decisions you make based on information provided by APX are made at your own discretion and risk. 5. Free Consultation and First Month Offer

APX offers a complimentary initial consultation to prospective clients. This consultation is provided at no charge and creates no obligation on either party to enter into a service agreement. The "first month free" promotional offer is available to new clients only, applies to the first full month of service under a signed service agreement, and is valued at $1,000–$2,500 depending on the selected service tier. This offer may be modified or discontinued at any time without notice. No cash value; not transferable.

6. Xero Integration and Third-Party Accounting Platforms

APX uses Xero, a cloud-based accounting platform operated by Xero Limited, to deliver financial advisory and fractional CFO services to clients. By authorizing APX to connect to your Xero organization, you grant APX access to your financial data solely for the purpose of performing the services described in your service agreement. This access is governed by Xero's OAuth 2.0 authorization framework and may be revoked by you at any time through your Xero account settings.

APX's use of the Xero platform is subject to the Xero Developer Platform Commercial Terms and Xero Developer Platform Terms and Conditions. APX is responsible for maintaining its certification and compliance with Xero's security and data handling requirements. APX does not use client Xero data for any purpose beyond the agreed scope of services, and does not sell or share Xero-sourced data with any third party except as required by law.

Client Responsibility: You are responsible for ensuring that your Xero subscription is active and that you have the authority to grant APX access to your Xero organization. You agree to promptly notify APX if you wish to revoke access or if your Xero account credentials change. APX is not responsible for any interruption to services caused by changes to your Xero account, subscription status, or access permissions.

7. Confidentiality

APX treats all client business information as strictly confidential. Information you share with us through the contact form, during consultations, or in the course of an engagement will not be disclosed to third parties except as described in our Privacy Policy or as required by law. Specific confidentiality obligations for active client engagements are detailed in the applicable service agreement.

8. Disclaimer of Warranties

This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. APX does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, APX and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this website or our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to APX in the three months preceding the claim.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of our website shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

Your continued use of our website after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
